1.      SCOPE OF APPLICATION

These general terms and conditions of sale (hereinafter the “GENERAL TERMS”) apply exclusively to all purchases made for personal use of MESSIKA products (hereinafter the “Products” or “Product”) in the boutique operated directly by MESSIKA ITALIA S.R.L. located at:  Piazza San Marco 18, 30124 Venezia, Italy (hereinafter referred to as the “Boutique”). Any conflicting condition proposed by the Client shall be unenforceable against MESSIKA in the absence of MESSIKA’s express acceptance.

Specific terms may apply to certain operations or special offers proposed in the Boutique; in such cases, those terms shall prevail over the present GENERAL TERMS.

These GENERAL TERMS govern the rights and obligations of the parties in connection with the sale of Products purchased in boutiques operated directly by MESSIKA ITALIA S.R.L. (hereinafter the “Sale”).

They do not apply to purchases made through the MESSIKA website or to any made-to-order or bespoke products, which are subject to specific terms available upon request.

Sales made under these GENERAL TERMS are strictly reserved for individual customers (the “Clients”). Any purchase made for commercial resale purposes is strictly prohibited.

MESSIKA reserves the right to amend these GENERAL TERMS at any time. The applicable version is the one in effect at the time of the Sale.

2.      IDENTIFICATION OF THE SELLER

MESSIKA ITALIA S.R.L., with a share capital of €10,000 I.V., registered under REA MI-2681491, Italian tax code and VAT number IT-12749640962.
Sole shareholder MESSIKA GROUP SAS Paris (France),.
The registered office of MESSIKA ITALIA S.R.L. is located at Via Montenapoleone 19, 20121 Milano (MI), Italy (hereinafter referred to as “MESSIKA”).

3.      PRODUCTS AND PRICING

The essential characteristics of the Products, as well as their prices, are displayed on labels or signage in the Boutique.

Product prices are indicated in euros, inclusive of all applicable taxes.

Any purchase of a ring in a size below 48 or above 60 shall be considered a made-to-order request, as defined in Article 6 “Returns.” Such orders will require a prior quotation and are not eligible for return (see Articles 6.2.2 “Non-returnable Products” and 6.4.1 “Conditions for Issuance of a Credit Note”).

MESSIKA reserves the right to limit the quantities of MESSIKA products purchased by a Client and/or to refuse any abnormal or bad faith transaction where such circumstances may constitute legitimate grounds for refusal.

4.      PAYMENT TERMS

Purchases must be paid in full on the day of purchase, directly in the Boutique.

The Client may pay for MESSIKA products in cash, by credit or debit card, or by bank transfer.

Payment by cheque is not accepted.

If, for any reason (e.g., rejection by the payment provider, bank refusal), the Client’s payment cannot be processed, the purchase shall be cancelled. MESSIKA will not deliver the Product to the Client until the payment has been successfully executed or validated.

The Client confirms that he/she/they has/have the necessary authorization to use the chosen payment method at the time of purchase.

4.1.           Cash payments

Cash payments are accepted in the Boutique, provided the total amount complies with the legal thresholds in force in the country at the time of purchase.

Any payment exceeding those thresholds must be made using traceable payment methods (card or bank transfer).

4.2.           Credit and debit card payments

We accept the following payment cards: Visa, Eurocard/Mastercard, American Express, China Union Pay, Japan Credit Bureau, Diners, Discover, WeChat Pay, Alipay.

4.3.           Bank transfers

We accept payments via bank transfer. The order will only be processed once MESSIKA has received confirmation from its bank that the transfer has been successfully completed.

5.      SPECIFIC SALES CONDITIONS

In the case of Specific Sales (including tax-free sales, export sales, or deliveries in the Boutique's country of operation), this section shall prevail over the return conditions described in Article 6 of the GENERAL TERMS.

6.      RETURNS

6.1.           Refunds

MESSIKA does not offer refunds for Products purchased in-store. For any return or exchange, please refer to Sections 6.2, 6.3, and 6.4 below regarding exchanges and credit notes.

6.2.          Return Policy

MESSIKA aims to offer its Clients the option to return Products under the conditions described below.

6.2.1.       Return Conditions

MESSIKA allows Clients to return Products that do not provide full satisfaction, provided that all of the following conditions are met:

Products falling into one or more of the following categories may not be returned:

6.3.         Exchange process

If the return conditions are met, MESSIKA will proceed with the exchange as quickly as possible.
An exchange is defined as the replacement of the returned Product with the same model in a different gold color and/or size.

In the event of a price increase between the purchase date and the exchange date, the Client will be required to pay the price difference.
For gifts, the exchange option may be exercised by the gift recipient.

6.4.          Credit Notes

6.4.1.       Conditions for Issuance of a Credit Note

If the Client wishes to return a Product for a different model, or if an exchange is not possible due to unavailability of the desired size or model, a credit note may be issued only if:

If the returned Product is declared compliant, MESSIKA will issue a credit note.
The credit note is personal and valid for one (1) year from the date of issuance, exclusively in the Boutique where the original purchase was made.

In the case of a gift, the credit note can only be issued in the name of the Buyer, not the gift recipient.

The credit note cannot be converted into cash, nor refunded, replaced, or reissued if lost, stolen, unreadable, or expired. MESSIKA cannot be held responsible in the event of fraudulent use by a third party.

7.      AFTER-SALES SERVICE

Subject to technical feasibility, MESSIKA may provide repair services for your Product purchased in the Boutique and/or from an authorized MESSIKA retailer.
Repairs are carried out at your expense, upon presentation of the original purchase invoice and certificate of authenticity.

8.      LEGAL WARRANTY

MESSIKA Products benefit from a legal warranty.
If the Product proves to be defective or unfit for its intended use, the Client has up to two (2) years from the date of delivery to invoke the warranty and request, at their choice, either a repair (if feasible), a replacement, or the cancellation of the sale with a refund—provided the Product is returned.

9.      MESSIKA COMMERCIAL WARRANTY

All jewelry purchased in MESSIKA boutiques is covered by the MESSIKA commercial warranty.

Your MESSIKA piece benefits from a two-year warranty from the date of purchase, covering any conformity defect or hidden fault occurring under normal conditions of use. The MESSIKA warranty card provided with the Product at the time of purchase serves as proof of authenticity and warranty coverage and must be presented when invoking the warranty.

If the jewelry is returned during the warranty period and a defect due to a manufacturing fault and/or an error attributable to MESSIKA is confirmed by our after-sales team and workshop, the defective element will be repaired or replaced free of charge by MESSIKA.

An additional third year of warranty is offered if the Client registers their jewelry online by completing the form available on our website www.messika.com within one month of purchase. This extended warranty applies to all MESSIKA jewelry.

10.  DATA PRIVACY

Your personal data is collected by the Boutique, Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (General Data Protection Regulation, the “GDPR”), for the purposes of managing the Sales, and, with your consent, to send you personalized communications about our products, services and events.

MESSIKA GROUP retains your personal data only for the time necessary to fulfil the purposes for which it was collected.

Your data may be transferred to and processed by MESSIKA as well as by other entities within the group (hereinafter collectively referred to as “MESSIKA GROUP”).

Your personal data may be processed and transferred outside the European Union in strict compliance with applicable regulations, including the GDPR.

You may exercise your rights of access, rectification, erasure, objection, data portability and restriction of processing at any time by contacting us via email at dpo@messikagroup.com .

11.  COMPLAINTS AND INFORMATION

For any information, complaint, inquiry regarding legal warranties, or questions related to the sale or the characteristics of MESSIKA Products, please contact our Customer Service by email at: stores@messikagroup.com .

12.  INTELLECTUAL PROPERTY

MESSIKA retains full ownership of all intellectual property rights over the photographs, presentations, studies, drawings, models, prototypes, etc., created (including upon your request) for the purpose of supplying the Products.

The Client is strictly prohibited from reproducing or exploiting any of these materials without the prior, express, and written consent of MESSIKA, which may be subject to a financial consideration.

13.  REGULATORY STATEMENT

All diamonds purchased by MESSIKA originate from legitimate sources not involved in the financing of conflicts.
MESSIKA hereby guarantees that none of its diamonds come from conflict zones, based on its knowledge and/or written guarantees from its suppliers.

14.  FORCE MAJEURE

The performance of MESSIKA’s obligations under these GENERAL TERMS shall be suspended in the event of a force majeure or unforeseeable circumstance that prevents their execution.

Such suspension shall not be grounds for liability due to non-performance, nor entitle the Client to any compensation or late penalties.

If the force majeure is temporary and does not exceed eight (8) days, the obligations shall be suspended for the duration of the event.

If the event is definitive or exceeds eight (8) days, the affected obligations shall be automatically terminated without further liability.
